Welcome to AGR Networks & Solutions ("AGR Networks," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our websites, services, and products. By accessing or using our services, you agree to be bound by these Terms.

Communication Systems
- PBX phone systems and VoIP solutions
- Video conferencing and collaboration tools
- Unified communications platforms
- Mobile device management
Managed Services
- 24/7 system monitoring and support
- Security management and threat protection
- Software updates and patch management
- Help desk and technical support
3. User Responsibilities
You agree to:
- Provide accurate and complete information when registering for services
- Maintain the confidentiality of your account credentials
- Use our services only for lawful purposes
- Comply with all applicable laws and regulations
- Not interfere with or disrupt our services or systems
- Not attempt to gain unauthorized access to our systems
- Report any security breaches or suspicious activity immediately
- Pay all fees and charges in accordance with your service agreement
Prohibited Activities
- Using services for illegal activities or to violate others' rights
- Transmitting malicious code, viruses, or harmful content
- Attempting to reverse engineer or modify our systems
- Reselling or redistributing our services without permission
- Engaging in activities that could harm our reputation or business
4. Service Level Agreements
Our service commitments are outlined in your specific service agreement. General service levels include:
Availability
- Network services: 99.9% uptime target
- Support services: 24/7 availability for critical issues
- Response times vary by service tier and issue severity
Support Response Times
- Critical issues: 1 hour response time
- High priority: 4 hours response time
- Medium priority: 8 hours response time
- Low priority: 24 hours response time
Note: Service levels may be affected by factors beyond our control, including third-party services, internet connectivity, or force majeure events. Specific SLA terms are detailed in your service agreement.
5. Payment Terms
Payment terms are as follows:
- Billing Cycle: Monthly, quarterly, or annual as specified in your agreement
- Payment Methods: Bank transfer, credit card, or other approved methods
- Due Date: Payment is due within 30 days of invoice date
- Late Fees: 1.5% per month on overdue amounts
- Price Changes: We may adjust prices with 30 days' notice
Payment Default
- Services may be suspended for non-payment after 15 days past due
- Data may be retained for 90 days after service suspension
- Outstanding balances will be referred to collections if unpaid
- Reactivation fees may apply for suspended services
6. Intellectual Property
Intellectual property rights are protected as follows:
AGR Networks' Property
- All software, documentation, and methodologies remain our property
- You may not copy, modify, or distribute our proprietary materials
- Custom solutions developed for you may include our intellectual property
Your Property
- Your data and content remain your property
- You grant us necessary licenses to provide services
- We will not claim ownership of your intellectual property
7. Data Protection and Privacy
Your privacy is important to us. Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. We will:
- Protect your data using industry-standard security measures
- Comply with applicable data protection laws (PDPA, GDPR, CCPA)
- Not sell or share your personal data without consent
- Provide you with access to your data upon request
- Notify you of any data breaches as required by law
8. Limitation of Liability
Important Legal Notice
- AGR Networks' liability is limited to the maximum extent permitted by law
- We are not liable for indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
- We are not responsible for third-party services or internet connectivity issues
- Force majeure events may affect service availability without liability
- You use our services at your own risk
9. Service Termination
Either party may terminate services as follows:
Termination by You
- Provide 30 days' written notice
- Pay all outstanding fees and charges
- Return any leased equipment in good condition
- Data export available upon request
Termination by AGR Networks
- Immediate termination for breach of these Terms
- 30 days' notice for non-payment or other violations
- Immediate termination for illegal or harmful activities
- Right to suspend services pending resolution of issues
Post-Termination
- Data will be retained for 90 days after termination
- You may request data export during this period
- Confidentiality obligations continue after termination
- Outstanding payments remain due and payable
10. Dispute Resolution
Disputes will be resolved as follows:
- Good Faith Negotiation: Parties will attempt to resolve disputes through good faith negotiation
- Mediation: If negotiation fails, disputes may be referred to mediation
- Arbitration: Binding arbitration in Singapore under Singapore International Arbitration Centre rules
- Governing Law: These Terms are governed by Singapore law
Note: You waive the right to participate in class action lawsuits or class-wide arbitration.
11. Force Majeure
AGR Networks shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:
- Natural disasters, acts of God, or extreme weather conditions
- War, terrorism, civil unrest, or government actions
- Pandemics, epidemics, or public health emergencies
- Power outages, internet disruptions, or telecommunications failures
- Third-party service provider failures or outages
- Labor disputes, strikes, or other industrial actions
12. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
Notification: We will notify you of material changes via email or through our service portal. It is your responsibility to review these Terms periodically.

14. General Provisions
- Entire Agreement: These Terms, together with your service agreement and privacy policy, constitute the entire agreement
- Severability: If any provision is found invalid, the remaining provisions remain in effect
- No Waiver: Failure to enforce any provision does not constitute a waiver
- Assignment: You may not assign these Terms without our written consent
- Survival: Provisions regarding liability, intellectual property, and confidentiality survive termination
